Indemnification
You agree to indemnify and hold harmless POM Unlimited and its principals, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site.
Dispute Resolution
The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site through good-faith negotiation. If the dispute is not resolved within thirty (30) days, either party may submit the dispute to binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. Arbitration will take place in Los Angeles County, California. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. For any matter not subject to arbitration under Section 9, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Los Angeles County, California.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision will be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date at the top of these Terms reflects the most recent revision. We will provide notice of material changes by posting a notice on the Site’s homepage for a reasonable period before the changes take effect. Continued use of the Site after revised Terms take effect constitutes your acceptance of those Terms.
